Pursuant to N.J.S.A. 17:27A-2d and N.J.A.C. 11:1-35.6, a hearing (“Hearing”) will be held to consider the Form A Statement (the “Form A”) regarding the proposed acquisition of control of Lancer Insurance Company of New Jersey (the “Domestic Insurer”) by Elk Merger Sub Limited, whose direct controlling person is Elk Bidco Limited, whose direct controlling person is Elk Parent Limited, whose direct controlling person is Elk Intermediate Holdings, LLC, whose direct controlling person is Elk Topco, LLC, whose direct controlling person is Elk Insurance Holdings, LLC, whose direct controlling persons are A. Michael Muscolino, Joshua Easterly, and Jennifer Gordon (collectively, the “Applicants”). The Form A was filed by the Applicants with the Commissioner of the New Jersey Department of Banking and Insurance pursuant to N.J.S.A. 17:27A-2a. In accordance with N.J.A.C. 11:1-35.6(g), the hearing shall be conducted on the documents filed. Pursuant to N.J.A.C. 11:1-35.6(f)(1), the scheduled date of the Hearing shall be seven (7) days after the publication of this notice. Therefore, the date of the Hearing is June 5, 2025.
